TOFFEE CO– TERMS & CONDITIONS

Effective Date: April 3, 2026

These Terms & Conditions (“Agreement”) govern all sales made by Toffee Co (“Company,” “we,” “us,” or “our”). By placing an order, the customer (“Customer”) agrees to the following terms.

1. ORDERS & ACCEPTANCE

All orders are subject to acceptance by Toffee Co.
The Company reserves the right to refuse or cancel any order at its discretion.

2. PRICING & PAYMENT

All prices are listed in U.S. dollars
Payment must be made in full prior to shipment unless otherwise agreed in writing

3. CORPORATE & BULK ORDERS (50+ TINS)

Orders of 50 tins or more are classified as Corporate or Bulk Orders.

A 50% deposit is required
Production will not begin until deposit is received
Remaining balance must be paid prior to shipment

Orders may not be changed or canceled once production has begun.

4. NO REFUNDS OR RETURNS

Due to the perishable and handmade nature of our products:

All sales are final. No refunds, returns, or exchanges will be accepted.

5. SHIPPING & DELIVERY

Orders are shipped via third-party carriers
Delivery dates are estimates only and not guaranteed

Risk transfers to the Customer once the order is delivered to the carrier.

The Company is not responsible for:

Carrier delays
Lost or stolen packages
Delivery issues once shipped

6. MULTI-ADDRESS SHIPPING

For orders shipped to multiple destinations:

Customers must provide accurate and complete shipping information
Toffee Co is not responsible for errors due to incorrect addresses
Additional fees may apply for address changes or reshipments

7. HEAT & ENVIRONMENTAL DISCLAIMER

Our products are sensitive to temperature and humidity.

Toffee Co is not responsible for melting, softening, or texture changes due to:

Heat exposure
Weather conditions
Shipping transit conditions
Improper storage after delivery

8. HOLIDAY & TIME-SENSITIVE ORDERS

Delivery dates are not guaranteed
Increased delays may occur during peak shipping seasons
Customers are responsible for selecting appropriate shipping methods

Toffee Co is not liable for late deliveries due to carrier performance or seasonal volume.

9. HOLIDAY PRE-ORDERS & DEADLINES

To manage seasonal demand, Toffee Co offers holiday pre-orders subject to the following:

Pre-Order Opening

Holiday pre-orders typically open on or around July 1

Thanksgiving Orders

Orders must be placed by September 30

Christmas Orders

Orders must be placed by the first Friday of November for standard production scheduling
Orders may be accepted through December 11, however:
- Orders placed after the first Friday of November are not guaranteed for Christmas delivery.

Delivery Expectations

Guaranteed delivery dates are not provided
Orders placed after stated deadlines are not guaranteed to arrive before the requested holiday

Right to Modify Deadlines

Toffee Co reserves the right to adjust deadlines based on:

Production capacity
Ingredient availability
Order volume
Shipping conditions
Weather or other external factors

Late Orders

Late orders may be accepted at the Company’s discretion
These orders are fulfilled on a best-effort basis only
Holiday delivery is not guaranteed

10. ALLERGEN WARNING

Products may contain or be processed in facilities that handle:

Milk
Tree nuts (including pecans)

Customers assume full responsibility for consumption.

11. PRODUCT VARIATION

All products are handmade. Slight variations in appearance, size, and texture are normal.

12. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

Toffee Co shall not be liable for any indirect or consequential damages.

Total liability shall not exceed the purchase price of the product.

13. INTELLECTUAL PROPERTY

All recipes, processes, branding, and materials are proprietary and owned exclusively by Toffee Co.

14. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Texas.

15. MODIFICATIONS

Toffee Co reserves the right to update these Terms at any time.

16. ACCEPTANCE OF TERMS

By placing an order, the Customer agrees to these Terms & Conditions.
